This public offer (clause 2 of Article 437 of the Civil Code of the Russian Federation) is an official offer of the limited liability company “Transport Company-7” (LLC “TK-7″)”, hereinafter referred to as the “Contractor” for individuals/legal entities, hereinafter referred to – “Customer” (if this proposal is accepted), collectively referred to as the “Parties”, enter into an agreement for the provision of services for the supply and removal of cars on non-public tracks (hereinafter referred to as the Agreement).

The terms of this Agreement come into force from the moment it is posted on the official website of TK-7 LLC at the address: volgtk.ru in the price section for supply and cleaning services volgtk.ru (hereinafter referred to as the Site), and are valid until the LLC Agreement is revoked “TK-7”.

The fact of complete and unconditional acceptance of this proposal of TK-7 LLC to conclude the Agreement, including all appendices to it, is the sending by the Customer, in accordance with Article 428 of the Civil Code of the Russian Federation, of an application for accession to the Agreement, in the form of Appendix No. 1 to this Agreement (hereinafter – Statement) addressed to the Contractor. The application form is posted on the Website.

The Customer is notified that one Application is submitted to one Contractor. The registered Application is valid only in relation to the provision of services in the territory of the corresponding Contractor who registered the Application.

In accordance with Article 434 of the Civil Code of the Russian Federation, the Agreement is equivalent to an agreement signed by the Parties by drawing up a single document.

The Agreement is considered concluded between TK-7 LLC and the Customer from the date of registration of TK-7 LLC received from the Customer and is valid for 1 (one) calendar year.

The registered Application is sent to the Customer at the email address specified in the Application for prompt interaction with the Contractor.

TK-7 LLC has the right at any time to change and supplement the terms of the Agreement unilaterally without prior approval from the Customer, while ensuring the publication of the changed terms on the Site.

Changes and additions to the Agreement come into force after 5 (five) calendar days from the date of their posting on the Site.

Changes and additions are considered accepted by the Customer after 5 (five) calendar days from the date of posting such changes and additions on the Site. In this case, calculations under the new conditions are made from the date of entry into force of the changes and additions.

If the Customer disagrees with the changes and additions, he has the right to refuse to provide services within 10 (ten) calendar days from the date of posting such changes and additions on the Site, by sending a written notice to the Contractor about the date of refusal to fulfill his obligations. The Agreement terminates from the date specified in the notice of refusal to provide services. Termination of the provision of services does not entail the termination of obligations that arose during the period of their validity, including payment for services rendered.

1. SUBJECT OF THE AGREEMENT

1.1. In accordance with this agreement, the Contractor carries out for the Customer the supply and removal of wagons (transportation of goods) by the Contractor’s locomotive from the Elshanka Priv station. railway to the loading and unloading places with placement at the places of cargo operation or layover and back.

1.2. The movement of trains on non-public railway tracks is carried out in compliance with the Rules for the Technical Operation of Railways of the Russian Federation (RTE), instructions on the movement of trains and shunting work and signaling on railways and appendices to them, instructions on the procedure for maintenance and organization of traffic on a non-public railway track .

2. SERVICE ORDER

2.1. All work under this Agreement is performed on the basis of the application submitted by the Customer, in the form of Appendix No. 2 to the agreement. The application is submitted to the Contractor’s email followed by his response to the Customer within 24 hours about acceptance of the application, and the absence of a response means the Contractor’s agreement with the terms of the application.

The Contractor undertakes to notify JSC Russian Railways about the counterparty (new Customer) before the start of the provision of services within the time limits established by law.

2.2. Carriage of goods and shunting work (supply and cleaning of wagons, placement of wagons at loading and unloading points, layover, relocation for cleaning, relocation from the waiting track for a cargo operation, pushing a wagon, etc.) – are carried out by the Contractor at the request of the responsible employee of the railway track non-public use of the Customer (hereinafter referred to as the responsible employee of the Customer) and in his presence.

2.3. The customer is served along non-public railway tracks with cadastral number 34:34:060038:680, the developed length of which is 6264 running meters.

2.4. Loading and unloading operations are carried out by the Customer’s forces and means.
